1. Agreement
These Terms of Use (the "Terms") are a binding agreement between you and the independent contributors who develop and maintain the MARKET CHOP project ("Market Chop", "we", "us"). They govern your access to and use of the website at mchop.xyz and its subdomains, the application programming interfaces behind it, the referral, task and whitelist programmes, and any related content and features (together, the "Site").
The Site is an interface to smart contracts deployed on Robinhood Chain (the "Contracts") and to software run by third parties. The Contracts are autonomous code: once deployed, they execute as written, and neither we nor anyone else can change their core logic.
By connecting a wallet, signing a Sign-In with Ethereum message, buying, holding or claiming MCHOP, taking part in any programme on the Site, or otherwise using the Site, you confirm that you have read, understood and accept these Terms and the Risk Notice at mchop.xyz/risk, which forms part of these Terms. If you do not accept them, do not use the Site.
Section 17 requires disputes to be resolved by individual arbitration and waives class actions and jury trials. Please read it carefully.
2. Eligibility and restricted persons
You may use the Site only if you are at least 18 years old and have the full legal capacity to enter into these Terms, and only if doing so is lawful for you where you are located and where you reside.
The Site, MCHOP and every programme described on the Site are not offered to, and may not be used by or on behalf of, any person who is a citizen or resident of, is located or incorporated in, or has a registered office in any of the following (each a "Restricted Jurisdiction"):
- the United States of America, its territories and possessions
- the United Kingdom
- Canada
- Cuba, Iran, North Korea, Syria, Russia and Belarus
- the Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine that are not under the control of the Government of Ukraine
- any other country or territory subject to comprehensive sanctions or embargoes administered by the United Nations, the European Union, the United Kingdom or the United States
nor by any person who is named on, or owned or controlled by a person named on, any sanctions list maintained by the United Nations Security Council, the European Union, the United Kingdom (HM Treasury) or the United States (including the OFAC Specially Designated Nationals list) (each, together with persons connected to a Restricted Jurisdiction, a "Restricted Person").
By using the Site you represent and warrant, each time you use it, that you are not a Restricted Person, that you are not acting on behalf of one, and that you will not use a virtual private network, proxy or any other means to disguise your location or to circumvent these restrictions.
The Site does not technically block access from any country. The absence of a technical block is not an offer and not a permission: the restriction above is a condition of use, you are solely responsible for complying with it, and any use in breach of it is unauthorised and at your sole risk. We may at any time, without notice, introduce technical restrictions, and refuse, suspend or disqualify any wallet, account or participant we reasonably believe to be a Restricted Person.
3. What MCHOP is — and is not
MCHOP is a fungible token on Robinhood Chain with a fixed supply of 1,000,000,000. It is a meme token created for entertainment and community participation.
MCHOP is not, and is not intended to be, a security, an investment contract, a share, a bond, a unit in a collective investment scheme, a derivative, electronic money, a deposit or any other regulated financial instrument, in any jurisdiction. It gives you no ownership, equity, profit share, voting right, redemption right, claim on any asset, revenue or treasury, or any other right against us or any other person.
You acknowledge that you acquire MCHOP for its use within the MARKET CHOP community and for entertainment, and not with an expectation of profit, whether from the efforts of others or otherwise. No one — including us — is under any obligation to develop, promote, list, support or maintain MCHOP or the Site, or to do anything that could affect its price.
Nothing on the Site, in our social media, community channels or other communications is an offer to sell, or a solicitation of an offer to buy, any security or financial product, or financial, investment, legal, tax or accounting advice. We are not your broker, adviser or fiduciary. Do your own research and, where appropriate, take independent professional advice before acquiring any digital asset.
4. The sale
The initial MCHOP sale is conducted through a pool on PinkSale, an independent third-party launchpad. Contributions, refunds, finalisation and token claims are handled by the PinkSale pool contract under PinkSale's own terms, over which we have no control. We do not receive, hold or custody your contribution at any point before the pool finalises.
Whitelist and public participants pay the same price and are subject to the same per-wallet limits. Whitelist status grants early access only, is granted at our discretion after human review, and may be refused, revoked or placed on a reserve list without reasons. Holding a whitelist slot does not guarantee that you will be able to buy.
Buy only through the official pool address published on the Site. Any other address, link or person claiming to sell MCHOP is not us. Losses from interacting with any other address are yours.
The sale may fail to reach its targets, may close early when the cap is reached, may be finalised or cancelled according to the pool's rules, and its timing may change. Any refund available to you is governed exclusively by the pool contract.
5. Trading tax and fees
Buying MCHOP from, or selling it to, a liquidity pair registered in the Contracts incurs a tax, currently 3% on each side. Transfers between ordinary wallets are not taxed. Adding or removing liquidity through a registered pair is taxed as a trade unless the address is on the published fee-exempt list. The Contracts impose a hard ceiling of 5% on the tax.
Collected tax is periodically swapped to WETH and split between a holder-rewards allocation and the project, in the proportion set in the fee collector contract. That proportion is controlled by the project multisig, may be changed at any time within the Contracts' limits, and may be zero for holder rewards.
You are responsible for all network (gas) fees for your own transactions, including claims. Third-party interfaces, routers and wallets may charge their own fees.
6. Holder rewards
From time to time, and entirely at our discretion, part of the tax proceeds may be distributed to MCHOP holders in reward periods of 48 hours, using the method described on the Rules page: 48 pseudo-randomly timed balance readings per period, published allocations, and a Merkle root that lets each eligible holder claim.
Holder rewards are not a return on investment, not interest, not a dividend and not a share of profits. They are not promised, not guaranteed and not earned by any effort of yours or ours. Any particular period may pay nothing, rewards may stop at any time without notice, and the holder-rewards allocation may be set to zero. No annual rate, target or estimate of rewards has been or will be given, and any figure you see anywhere that suggests one is not ours.
Addresses on the published exclusion list — including contracts, liquidity pairs, exchanges and project wallets — do not earn rewards, and tokens held through any contract earn nothing for you. The list is versioned and may be extended for future periods.
Rewards must be claimed by you, from the Contracts, at your own cost. We may not distribute a period at all, may publish a corrected root where an earlier one was built from wrong data, and the multisig may revoke (invalidate) a root or pause claims to protect the system. A revoked root cannot be claimed against. Amounts already claimed are never taken back.
Allocations are computed off-chain by our software from blockchain data. Although the method is published and reproducible, computations can be wrong. Published figures are not binding until reflected in an active on-chain root. We have no obligation to correct any error; any correction is at our discretion.
7. Referrals, tasks and whitelist
The referral, task and whitelist programmes are promotional community programmes offered at our discretion. They may be changed, suspended or ended at any time, including retroactively for conduct in breach of these Terms, without liability.
A referral counts only if the referred person meets the published qualification criteria. Qualification, whitelist review, task verification and any reward are decided by us, may involve manual review, and are final. We may invalidate referrals, reject tasks, withhold or reverse any off-chain status, and disqualify participants we reasonably suspect of abuse.
Any referral reward of MCHOP is calculated only on purchases that actually settled on-chain and were not refunded, is paid at our discretion, and is not a commission, fee or payment for arranging or soliciting investment. You must not describe MCHOP to anyone as an investment, promise any return, or refer any Restricted Person.
Linking an X account authorises us to read the account data described in section 11 for as long as it stays linked. Your use of X remains subject to X's own terms.
8. Your wallet and your transactions
The Site is non-custodial. We never hold your digital assets or your private keys, and we cannot initiate, stop, reverse or recover any transaction. You alone control your wallet and are responsible for its security, for your seed phrase and keys, and for every transaction signed with it.
Signing in with your wallet proves that you control the address. It does not cost gas and grants us no permission to move your assets.
Transactions on a blockchain are public and irreversible. Before confirming anything, check the contract address, the amount, the network and any approval you grant. We are not responsible for tokens sent to a wrong address, for approvals you grant to other contracts, or for losses caused by phishing, malware, compromised devices or impersonators.
9. Prohibited conduct
You must not, and must not attempt to or help anyone else to:
- use the Site or MCHOP in breach of any law or regulation, including sanctions, anti-money-laundering, counter-terrorist-financing, securities, commodities, consumer-protection and tax laws;
- create or operate multiple accounts, wallets or X accounts, use bots, scripts or automated means, or otherwise game the referral, task, whitelist or reward programmes ("Sybil" activity);
- misrepresent your identity, location or eligibility, or use a VPN, proxy or similar means to circumvent section 2;
- manipulate the market for MCHOP, including wash trading, spoofing, pump-and-dump schemes or coordinated manipulation of balances around reward readings;
- exploit any bug, error or vulnerability in the Site or the Contracts, rather than reporting it to us privately;
- interfere with, overload, scrape, reverse-engineer or gain unauthorised access to the Site or its infrastructure, beyond reading public blockchain data;
- impersonate us, publish fake contract addresses, run phishing sites, or use our name, marks or art in a way that is misleading or suggests an endorsement we have not given;
- promote MCHOP as an investment, promise or imply any return, or market it to any Restricted Person.
We may, at our sole discretion and without notice or liability, suspend or terminate your access to the Site, invalidate your off-chain statuses, referrals and task completions, exclude your addresses from future reward periods, and report conduct to the relevant authorities.
10. Administrative controls
Certain functions of the Contracts are controlled by a project multisig and by role keys, as published on the Treasury page. They include: setting the trading tax within the 5% ceiling; registering liquidity pairs; maintaining the fee-exempt list; configuring the swap router, limits and the fee split; publishing and revoking reward roots; and pausing claims. These controls exist to operate and protect the system; their use may affect you, and you accept that risk.
The Contracts are not upgradeable. A defect in them may be impossible to correct.
11. Data we process
To operate the Site and protect its programmes against abuse we process: your wallet address and signed sign-in messages; a one-way hash of your IP address; your browser user agent and a hashed device fingerprint; the country and network (ASN) your connection appears to come from; if you link X, your X user ID, handle, account creation date, follower count, the posts you submit and the access tokens X issues for the link (stored encrypted); your referral, task and whitelist records; and technical logs.
We use this data to authenticate you, run and verify the programmes, detect fraud and Sybil activity, secure the Site, comply with law and enforce these Terms. We do not sell it. It may be processed by infrastructure and service providers acting for us, and disclosed where required by law or to protect our rights. Anti-fraud records are kept for as long as needed for those purposes.
Blockchain data — including your address, balances, transactions, rewards and claims — is public by nature and is published on the Site and in our reward artifacts. It cannot be deleted by us or anyone else.
12. Third parties
The Site relies on and links to services we do not control, including Robinhood Chain, PinkSale, decentralised exchanges and routers, wallet software, RPC providers, block explorers and X. Their availability, security and terms are their responsibility, not ours, and we are not liable for them.
MARKET CHOP is an independent community project. It is not affiliated with, endorsed, sponsored or operated by Robinhood Markets, Inc. or any of its affiliates, PinkSale, X Corp., Uniswap or any other third party named on the Site. Their names are used only to identify the networks and services the Site interacts with.
13. Content and intellectual property
The MARKET CHOP name, logo, mascot, artwork and Site content belong to us or our licensors. You may share them and make community memes with them for non-commercial purposes, provided you do not mislead anyone about who you are or suggest our endorsement. All other rights are reserved.
If you submit content to us (for example posts for tasks), you grant us a worldwide, royalty-free licence to use, reproduce and display it in connection with the Site and the project.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, THE CONTRACTS, MCHOP AND ALL CONTENT AND PROGRAMMES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY OR THAT THE SITE OR THE CONTRACTS ARE FREE OF ERRORS, BUGS OR HARMFUL COMPONENTS.
Information on the Site — including balances, raise totals, scores, allocations, countdowns and activity — is derived from blockchain data by our software, may be delayed, incomplete or wrong, and is provided for information only. The blockchain is the only authoritative record.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OR ANY OF OUR CONTRIBUTORS, DEVELOPERS, AFFILIATES, AGENTS OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, TOKENS, DIGITAL ASSETS, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE CONTRACTS, MCHOP OR THESE TERMS, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE CONTRACTS, MCHOP OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).
Some jurisdictions do not allow certain exclusions or limitations of liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct.
16. Assumption of risk, release and indemnity
You use the Site and acquire, hold, trade and claim MCHOP entirely at your own risk, having read the Risk Notice. To the fullest extent permitted by law, you release us from all claims, known and unknown, arising from those risks.
You will indemnify and hold harmless us and our contributors, developers, affiliates and agents from any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of your use of the Site, your breach of these Terms or of any law, or your violation of any third party's rights.
17. Governing law and disputes
These Terms and any dispute or claim arising out of or in connection with them, the Site, the Contracts or MCHOP, including non-contractual disputes, are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules.
Any such dispute, including any question regarding the existence, validity or termination of these Terms, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC then in force. The seat of arbitration is Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration is English. The arbitration and its outcome are confidential.
YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION OR ARBITRATION. Claims may be brought only in your or our individual capacity, and the tribunal may not consolidate claims or award relief on a class or representative basis.
Any claim must be commenced within one year after the cause of action arises, or it is permanently barred, to the extent permitted by law.
18. Changes, suspension and termination
We may amend these Terms or the Risk Notice at any time by publishing a new version on the Site with a new version number and effective date. Material changes will be announced on the Site or through our official X account. Continued use of the Site after a new version takes effect, and in any case your next wallet sign-in, constitutes acceptance of it.
We may change, suspend or discontinue the Site or any programme, in whole or in part, at any time and without liability. Sections that by their nature should survive — including 3, 6, 11 and 14 to 19 — survive any termination.
19. General
These Terms, together with the Risk Notice and the Rules page, are the entire agreement between you and us about the Site. If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary and the rest will remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to any successor, including a legal entity formed to operate the project. We are not liable for any failure or delay caused by events beyond our reasonable control, including network failures, forks, attacks, and changes in law.
These Terms are written in English. Any translation is for convenience only, and the English version prevails.
Notices to you may be given on the Site or through our official X account (@market_chop). Questions about these Terms can be sent to that account. Beware of impersonators: we will never message you first to ask for funds, keys or a seed phrase.
